Account Onboarding Terms & Conditions
Your agreement with Herculis Partners (“Herculis Partners”) includes the following terms governing your account onboarding and related services. In these terms, “You,” “Your,” and “Client” refer to the individual, persons, or entity registered as the account owner. References to “Herculis Partners” relate to the company.
MODIFICATION OF TERMS & CONDITIONS
Herculis Partners reserves the right to amend these Terms & Conditions without prior notice, provided such changes do not materially disadvantage the Client. Should any amendments significantly impact the Client’s interests, Herculis Partners will provide a thirty-day notice period before the changes take effect.
WARRANTIES, INDEMNITIES & DEFAULT
The Client represents and warrants that:
• They have the legal authority and capacity to enter into and comply with these Terms.
• They are financially and otherwise prepared to engage in speculative investments.
• They will comply with all applicable laws and regulations, including tax laws, exchange control requirements, sanctions, and registration obligations.
• The information provided to Herculis Partners during the onboarding process is accurate, complete, and materially correct.
The Client authorises Herculis Partners to manage, offset, and/or utilise any collateral to fulfil their obligations where applicable.
In the event of a breach of these Terms, including failure to make payments, fulfil obligations, or if any provided warranties are found to be false or misleading, Herculis Partners shall not be held liable for non-performance caused directly or indirectly by unforeseen events beyond its control.
CLIENT RESPONSIBILITIES
The Client is solely responsible for:
• The accuracy and legitimacy of all information, orders, and instructions provided under their name.
• Ensuring that all personal identification and security measures used for client verification remain confidential and secure.
• Providing complete and accurate documentation required for account onboarding and verification.
Herculis Partners reserves the right to take necessary actions to protect its rights without prior notice. The Client acknowledges that Herculis Partners shall not be liable for any losses or consequences arising from such actions, except in cases of negligence or material breach of these Terms.
SERVICE FEES
Herculis Partners charges commissions and fees on securities transactions. With Initial Public Offerings (IPO's) Herculis Partners charges a fixed fee of 0% on the purchase and 2% on the sell.
RISK ACKNOWLEDGEMENT
The Client acknowledges and accepts that:
• Past performance does not guarantee future results. The value of investments may fluctuate due to market conditions and currency exchange rates.
• All investment decisions carry inherent risks, and the Client is fully responsible for any gains or losses incurred.
• Unless otherwise agreed, Herculis Partners does not provide continuous monitoring of the Client’s transactions.
• Herculis Partners has made no guarantees of profit or assurances regarding investment outcomes.
ADVISORY SERVICES
Unless otherwise agreed, Herculis Partners may provide advisory services but is not obligated to offer recommendations on financial products or services.
When providing advice, information, or recommendations, Herculis Partners does not guarantee:
• Their accuracy, completeness, or profitability.
• That they constitute an offer to buy or sell any financial instrument.
• That they are free from personal opinions, unverifiable data, or market assumptions.
Herculis Partners does not offer tax advice. Clients are encouraged to seek independent tax guidance from their legal or financial advisors regarding the tax implications of any transactions.
TERMINATION
The Client may terminate their agreement with Herculis Partners at any time by providing written notice.
Herculis Partners may also terminate the agreement by providing at least one month’s notice in a durable medium.
ACCOUNT AUTHORISATION
By signing below, you confirm your agreement to these Terms & Conditions and acknowledge that this document governs your relationship with Herculis Partners.
